XIAOMA Consignment Platform – Terms of Use

Article 1 Scope of Application

These Platform Terms of Use (hereinafter referred to as the “Terms”) apply to all users who access, browse, or use the XIAOMA Consignment Platform (hereinafter referred to as the “Platform”).

These Terms constitute a legally binding agreement between the user and the Platform operator.

By registering an account, logging in, browsing Platform content, or using any services provided by the Platform, the user confirms that they have read, understood, and agreed to be bound by all provisions of these Terms.

If a user does not agree to any part of these Terms or any subsequent amendments, the user must immediately stop accessing and using the Platform.

The Platform reserves the right to modify or update these Terms based on business development, regulatory changes, or operational requirements. Updated Terms will be published on the Platform and shall become effective immediately upon publication.



Article 2 Platform Service Model

The XIAOMA Consignment Platform operates under a C2B2C (Customer-to-Business-to-Customer) consignment transaction model.

Under this model:

Sellers entrust products they legally own to the Platform for display and sale.

The Platform provides services including product display, transaction facilitation, authentication, logistics coordination, and payment settlement.

Buyers browse products on the Platform and complete purchases through the Platform.

The Platform primarily acts as an intermediary service provider. In principle, the Platform does not directly own the products nor act as the final seller.

The Platform reserves the right to reasonably adjust transaction processes, service models, or related rules in accordance with business development.



Article 3 Platform Operating Entities

The Platform is operated and managed by XIAOMA and its affiliated companies.

To support cross-border operations, the Platform may establish operational nodes in different regions, including but not limited to:

  • Japan
  • Hong Kong
  • Singapore
  • Dubai

Operational nodes in different regions may be responsible for the following services:

  • Product authentication
  • Product warehousing
  • Logistics and shipping
  • Payment settlement

The Platform reserves the right to adjust, add, or remove operational nodes according to business needs.



Article 4 User Eligibility

Users of the Platform must meet the following basic requirements:

  1. Be at least 18 years old and possess full legal capacity.
  2. Provide true, accurate, and complete identity information.
  3. Comply with applicable laws and regulations in their jurisdiction as well as Platform rules.
  4. Not be subject to any Platform restrictions or prohibitions.

The Platform reserves the right to conduct Know Your Customer (KYC) verification and Anti-Money Laundering (AML) reviews in accordance with legal requirements and risk management policies.

If a user provides false information, impersonates another person, or engages in illegal activities, the Platform reserves the right to suspend or terminate the account and pursue legal liability.



Article 5 Account Management

Users must register an account on the Platform to access the full range of services.

Users must properly safeguard their account information, including but not limited to:

  • Login ID
  • Password
  • Identity verification information

Users are responsible for all activities conducted through their accounts.

If a user discovers unauthorized access or suspicious activity, the user must notify the Platform immediately. The Platform will take reasonable security measures to protect user account information. However, the Platform shall not be liable for losses caused by improper account management by the user.



Article 6 Seller Membership System

The Platform operates under a Seller Membership System.

Before consigning products, sellers must complete the following steps:

  1. Register a Platform account
  2. Complete identity verification (KYC)
  3. Activate seller membership

The seller membership system is designed to:

  • Enhance transaction security
  • Establish a trustworthy trading environment
  • Provide a stable consignment service framework

The Platform reserves the right to adjust the membership system based on business development.



Article 7 Seller Types

Sellers on the Platform are classified into the following categories:

Individual Sellers

Individuals who register and complete verification through the Platform.

Platform Verified Sellers

Trusted sellers or partner merchants verified and approved by the Platform.

Verified sellers may receive additional service support or promotional exposure.

The Platform reserves the right to review, adjust, or revoke seller status.



Article 8 Product Listing

When listing products on the Platform, sellers must provide true, accurate, and complete product information.

Product information typically includes but is not limited to:

  • Product images
  • Brand and model
  • Material
  • Color
  • Size
  • Condition
  • Accessories included

Sellers must ensure that product descriptions are truthful and not misleading.

The Platform reserves the right to review product information and may request additional details or reject listings that do not meet Platform standards.



Article 9 Product Pricing

Sellers must set their expected consignment price when listing products.

The Platform may adjust prices based on market trends, historical transaction prices, or professional evaluations and notify the seller.

If the listed price significantly deviates from the reasonable market range, the Platform reserves the right to adjust the price or refuse the listing.



Article 10 Product Removal

Sellers may request to remove a product from the Platform before any order is generated.

If an order has already been created or the transaction process has begun, the listing cannot be canceled.

The Platform may remove products under the following circumstances:

  • Incomplete product information;
  • Potential regulatory or compliance risks;
  • Products that do not meet Platform standards;
  • Potential intellectual property infringement.


Article 11 Prohibited Products

The following products are strictly prohibited from being sold on the Platform:

  • Counterfeit products;
  • Products with unclear origins;
  • Products suspected of intellectual property infringement;
  • Illegal products;
  • Products severely damaged or lacking resale value.

The Platform reserves the right to remove prohibited products and take further actions.



Article 12 Order Process

The general transaction process includes the following steps:

  1. Seller lists product
  2. Product is displayed on the Platform
  3. Buyer places an order
  4. Seller ships product to Platform node
  5. Platform conducts authentication
  6. Platform ships product to buyer
  7. Buyer confirms receipt
  8. Platform settles payment with seller

The Platform may adjust the process based on operational needs.



Article 13 Product Shipping Nodes

Sellers must ship products to the designated Platform node for authentication and fulfillment.

The general rules are as follows:

The Platform reserves the right to adjust the list of supported countries.



Article 14 Shipping Time

Sellers must ship products within 72 hours after an order is generated.

If the seller fails to ship within the required time, the Platform may:

  • Cancel the order;
  • Restrict seller account permissions;
  • Suspend the seller’s consignment eligibility.


Article 15 Product Authentication

All products must undergo professional authentication by the Platform before being shipped to buyers.

Authentication includes but is not limited to:

  • Product authenticity
  • Product condition
  • Accessories verification

The authentication result shall serve as the final determination by the Platform.



Article 16 Counterfeit Handling

If a product is determined to be counterfeit, the Platform may:

  • Cancel the order;
  • Issue a full refund to the buyer;
  • Charge relevant fees to the seller;
  • Freeze the seller account.

The Platform reserves the right to pursue legal liability.



Article 17 Seller Service Fees

The Platform charges consignment service fees based on the product price range.

The Platform reserves the right to adjust service fees based on product category, market conditions, or other reasonable factors.

The Platform provides the following services:

  • Product display
  • Authentication services
  • Transaction facilitation
  • Logistics coordination
  • Customer support

Sellers are responsible for shipping costs to the designated Platform node.



Article 18 Buyer Fees

The Platform does not charge transaction fees to buyers.

Buyers are responsible for paying:

  • Product price
  • Customs duties or import taxes (if applicable)

The Platform covers basic shipping costs from the Platform node to the buyer.



Article 19 Credit Card Payment Fees

If a buyer pays by credit card, the payment institution will charge a 4% credit card processing fee.

This fee will be clearly displayed on the payment page.



Article 20 Settlement Currency

Seller settlement currency is determined by the shipping node:

Article 21 Settlement Time

After the buyer confirms receipt of the product, the Platform will complete settlement with the seller within 7 business days.

Settlement may be delayed if disputes or investigations occur.



Article 22 Taxes and Duties

Customs duties, import taxes, and customs clearance fees arising from cross-border transactions shall be borne by the buyer.

The exact amount shall be determined according to the customs regulations of the destination country.



Article 23 User Violations

If users engage in any of the following behaviors:

  • Providing false information
  • Selling counterfeit products
  • Malicious transactions
  • Circumventing Platform transactions

The Platform reserves the right to:

  • Restrict the account
  • Freeze the account
  • Terminate the account


Article 24 Intellectual Property

All content on the Platform, including but not limited to:

  • Trademarks
  • Website design
  • Data and information

is protected by intellectual property laws.

Unauthorized use is strictly prohibited.



Article 25 Limitation of Liability

To the maximum extent permitted by law, the Platform shall not be liable for:

  • Force majeure events;
  • Logistics delays within a reasonable scope;
  • Customs inspections or related administrative actions.

The Platform’s maximum liability shall not exceed the order transaction amount.



Article 26 Force Majeure

The Platform shall not be liable for service interruptions caused by force majeure events including natural disasters, war, government actions, strikes, epidemics, or other events beyond reasonable control.

These Terms become effective on the following date:

The Platform reserves the right to update these Terms based on business development or legal requirements.

Updated Terms will take effect immediately upon publication on the Platform.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.
